Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the Concessio platform, including the web application at app.concessio.io, the public REST API, the MCP server, and all related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
Concessio provides infrastructure concession intelligence, including a database of global concession assets, AI-powered document analysis, ownership tracking, transaction comparables, regulatory monitoring, and related analytical tools. The Service is designed for professional use by infrastructure investment firms, advisory practices, and related institutional users.
3. Accounts and Access
Access to the Service requires an account created through our invitation process. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms, are used for competitive intelligence gathering against Concessio, or engage in systematic data extraction beyond normal platform usage.
4. Subscription Plans and Payment
The Service is offered under tiered subscription plans with varying levels of access, API rate limits, and features. Plan details and pricing are provided during the sales process or on our pricing page when available.
Subscriptions are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by applicable law. We reserve the right to modify pricing with 30 days’ written notice. Changes take effect at the start of the next billing cycle.
5. Acceptable Use
You agree not to:
Use the Service to build or contribute to a competing product or database, or systematically scrape, download, or replicate the Concessio database or any substantial portion of it.
Share account credentials with individuals outside your organization, or resell, sublicense, or redistribute access to the Service or its data without our written consent.
Circumvent rate limits, authentication mechanisms, or access controls, or use automated tools to access the Service beyond the scope of the provided API.
Upload malicious files, attempt to compromise the security of the Service, or interfere with other users’ access to the platform.
Misrepresent Concessio data as your own original research in published materials without attribution, or use Concessio data in regulatory filings without independent verification.
6. API Terms
Access to the Concessio REST API and MCP server is governed by the rate limits and data access restrictions of your subscription plan. API keys are issued per-organization and must not be shared publicly or embedded in client-side code.
We reserve the right to throttle or suspend API access that exceeds plan limits, exhibits patterns consistent with systematic data extraction, or degrades service performance for other users. Reasonable burst usage above plan limits is tolerated; sustained excess requires a plan upgrade.
7. Uploaded Content
You retain all rights to documents and data you upload to the Service (“Your Content”). By uploading content, you grant us a limited license to process, analyze, and store Your Content solely for the purpose of providing the Service to you.
You represent that you have the right to upload any content you submit and that such content does not violate any confidentiality obligations, intellectual property rights, or applicable laws. We are not responsible for the accuracy or legality of Your Content.
8. Concessio Data
The Concessio database is compiled from public government registries, regulatory filings, listed company reports, and other publicly available sources. While we make reasonable efforts to ensure accuracy, the data is provided “as is” and should not be relied upon as the sole basis for investment decisions.
Concessio data and intelligence outputs (including AI-generated analysis, risk signals, and predictive scores) are informational tools, not investment advice. You are responsible for conducting your own due diligence on any transaction or investment decision.
9. Intellectual Property
The Service, including its software, database structure, analytical models, user interface, and documentation, is owned by Concessio and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the subscription term. This license does not include the right to copy, modify, distribute, or create derivative works of the Service.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Concessio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of or inability to use the Service.
Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the amount you paid to Concessio in the twelve months preceding the claim.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any data, analysis, or intelligence output provided through the Service.
12. Indemnification
You agree to indemnify and hold harmless Concessio and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
Either party may terminate these Terms with 30 days’ written notice. We may suspend or terminate your access immediately if you materially breach these Terms, including violations of the Acceptable Use provisions.
Upon termination, your right to access the Service ceases immediately. You may request export of Your Content within 30 days of termination. After 30 days, Your Content will be permanently deleted in accordance with our Privacy Policy.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
15. Modifications
We may modify these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree with any modifications, you may terminate your account before the changes take effect.
